More auDA propaganda spin unfortunately I do not think it is entirely factual about the SGM and auDA's loss at the Federal Court whcih cost a fortune on auDA funds.

The truth is auDA failed in their application to have the SGM at the same time as the AGM and the Judge did not accept their claims of the last SGM costs having relevance etc.

https://auda.org.au/mailouts/auDA+P...+Member+and+Stakeholder+Newsletter+-+May+2018

"Special General Meeting

Members would be aware that a Special General Meeting (SGM) was recently requested by a group of members under section 249D of the Corporations Act.

Last week auDA successfully applied to the Australian Federal Court to extend the period to hold the SGM.
................We were pleased the court acknowledged the need for an extension, granting an extension to 27 July, 2018.

More information regarding the SGM will be provided soon."

"Joseph Goebbels: Hitler’s Propaganda Minister
As 1944 segued into 1945, the German defeat seemed inevitable to the Nazi regime. While other Nazi higher-ups made contact with the Allies in the hope of negotiating lenient treatment after the German surrender, Goebbels remained steadfastly devoted to Hitler.

During the last days of April 1945, as Soviet troops were on the threshold of Berlin, Hitler was holed up in his bunker. Goebbels was the lone senior Nazi official at his side. On April 30, Hitler committed suicide at age 56 and Goebbels replaced him as Germany’s chancellor. However, Goebbels’ reign was short-lived. The following day, he and his wife, Magda (1901-45), fatally poisoned their six children. The couple then took their own lives, although accounts of exactly how they died vary."

Reportedly, Joseph Goebbels had a step son Harald Quandt, his step son was a prisoner-of-war, in Benghazi. Harald Quandt was released from captivity in 1947. Seven years later, he and his half-brother Herbert, inherited the industrial empire built by their father, Guenther Quandt. Harald's decedents now share a fortune worth at least $6 billion, according to the Bloomberg Billionaires Index.

It is an extraordinary coincidence that auDA.com is funded by the Harald Quandt family of Germany. (Perhaps we should look into that brand excersize...LOL)

On Friday 20 April I met with auDA Chair Chris Leptos for over an hour, and then with auDA Director Tim Connell over that weekend. There was no message received from either of them which proposed a one month delay to the SGM. Had that been proposed then it could have saved tens of thousands of member funds from being spent on auDA's Federal Court case.

auDA went to the Federal Court seeking to delay the SGM for 3 months to September, the judge rejected this and compromised on a 1 month extension. In other words, auDA lost.

auDA’s propaganda machine left out these important facts.

Actually auDA only suggested the audited accounts would be ready by September and then the AGM and SGM could take place then together. They did not guarantee September at all and who could trust them now?

It may be the case for some reason that the SGM and also the SGM would have been delayed....

Who really knows when they will call the AGM. Not many people will trust any announcements, newsletters or PR spin ever again from auDA sadly. It has been proven to be mostly straight out of the Propaganda playbook and definitely not how the .au namespace needs to be managed.

I hope they allow for plenty of question and answer time at the SGM and my guess is Government and media will be filling some of the empty seats this year.

What a pack of scumbags!

From their latest email, "The report further concluded “the current membership model, and its relationship to corporate governance, is impeding auDA’s decision making and is contributing to ongoing organisational instability”."

No minutes, foisting a code of conduct on members and not replacing demand class members for 5 months!

Having an imbalance of class directors for 5 months is great for governance.

However, the recent report did say, "Taken together, these events point to a lack of stability and transparency, an organisation undergoing significant change, and an interventionist membership base concerned about the direction of the organisation."

And, "The issue of Board stacking is of particular concern. This would suggest a manipulation of process to place directors on the Board to act in the interest of a particular membership faction, rather than in the interests of the organisation as a whole or the Australian internet community."

The report obviously had multiple authors with the initial draft being supplemented with balancing remarks by less biased players.

So what we have is a stacked board vs an interventionist member base.

Stacks on!

And now we will have 3 board appointed (not member voted in) demand class members. It's just another opportunity for a stacked board to... well keep on stacking.

May the 4th demand class director come to his senses or will he too, turn to the dark side? Tim will tell.

Agree, they would delay it as long as possible, it would be a Christmas meeting.

The current strategy is hoping time will disassociate them from their bad past decisions. I doubt any of them can change beyond putting up the facade of we "we have changed" for a couple of months in the hopes of saving their jobs.

This has been going on for 10 years and auDA has continued to allow it,

The board discussed a paper drafted by CN outlining possible changes to the auDA Constitution to address three issues:
1. potential supply side capture of demand class
2. supply related person standing as a demand class director
3. related entities holding multiple supply class memberships.

https://www.auda.org.au/about-auda/our-org/board-meetings/2007/070416/

It has gotten to a new level lately if the leaks coming out of auDA are true that the CEO of a registrar is attempting to gain a demand class director position.

And now we will have 3 board appointed (not member voted in) demand class members. It's just another opportunity for a stacked board to... well keep on stacking.

Exactly right, expect 3 people who are completely non representative of demand class.

Well said.
